These Terms of Service ("Terms") govern your access to and use of the CA Friend Compliance & Governance OS platform. By signing up, you agree to these Terms and our Privacy Policy.

1. Agreement to terms

These Terms constitute a binding agreement between you (or the entity you represent) and CA Friend("we", "us"), the operator of the Compliance & Governance OS platform at https://cafriend.in. By accessing the website or signing up for the platform, you confirm that you have authority to bind your organisation, that you have read these Terms, and that you agree to be bound by them.

2. The services

CA Friend provides a multi-tenant SaaS platform that includes:

AI Policy & SOP Generator;
Compliance Document Management;
Employee Acknowledgement Tracking;
Audit Readiness Dashboard for ISO 27001, SOC 2 and DPDP;
AI Questionnaire Autofill;
Evidence Collection;
Vendor & Asset Registry;
Compliance Reminders & Workflows.

We may add, modify, or discontinue features. Material changes will be notified at least 30 days in advance.

3. Your account

You must provide accurate registration details and keep them current.
You are responsible for safeguarding your credentials and for all activity under your account.
You must notify us promptly of any unauthorised access at security@cafriend.in.
You may not share accounts. Each member must have an individual login.

4. Acceptable use

You agree not to:

Use the platform to violate any applicable law (including the IT Act 2000, the DPDP Act 2023, or export-control laws).
Attempt to gain unauthorised access to other tenants' data or to our infrastructure.
Reverse-engineer, decompile, or attempt to derive the source code of the platform, except where allowed by applicable law.
Resell, sublicense, or commercially exploit the platform without our prior written consent (the CA Partner programme is the only exception, governed by a separate agreement).
Send spam, malware, or content infringing third-party rights through the platform.
Use the platform to process personal data for which you do not have a lawful basis.

5. Data roles & tenant data

For personal data your members, employees, vendors and clients enter into your CA Friend workspace, you are the Data Fiduciary and we act as a Data Processor on your behalf, in accordance with our Data Processing Addendum (available on request and incorporated into these Terms by reference).

You retain all rights, title and interest in your tenant data. We will not access, use, or disclose your tenant data except (a) as needed to provide the services, (b) on your instruction, or (c) as required by law.

6. AI features

CA Friend uses third-party AI providers (currently Anthropic Claude and Google Gemini) to power policy generation and questionnaire autofill. AI-generated content is provided as a draft and is not a substitute for review by a qualified compliance professional. You retain final responsibility for any policy, evidence narrative, or questionnaire response that you publish or send.

7. Fees, billing & taxes

Fees for paid plans are set out at /pricing and shown in INR or USD based on your detected region.
Indian customers will be charged GST in addition to the listed price, in accordance with applicable law. We will issue tax invoices.
Subscriptions auto-renew at the end of each billing cycle unless cancelled at least 24 hours before renewal.
Upgrades are pro-rated; downgrades take effect at the next billing cycle.
30-day money-back guarantee on all plans for first-time customers.

8. Suspension & termination

We may suspend or terminate your account if (a) you breach these Terms, (b) your payment is overdue by more than 14 days, (c) we are required to do so by law, or (d) we reasonably believe your use poses a security or legal risk to other tenants. We will provide notice and a reasonable opportunity to cure where practicable.

On termination, you may export your data within 30 days. After 30 days, your tenant data will be permanently deleted, subject to any legal retention requirements (audit logs, billing records).

9. Intellectual property

The CA Friend platform, software, designs, and brand are our exclusive property. We grant you a limited, non-exclusive, non-transferable licence to use the platform during your subscription. You retain all rights in your tenant data.

10. Confidentiality

Each party will protect the other's confidential information with at least the same degree of care it uses for its own (and not less than reasonable care). Tenant data is treated as your confidential information.

11. Warranties & disclaimers

We warrant that the platform will perform substantially in accordance with our published documentation. Except for the foregoing, the platform is provided "as is" without any warranty, express or implied, to the maximum extent permitted by law. CA Friend does not guarantee that you will pass any specific external audit or certification — that determination rests with the accredited auditor.

12. Limitation of liability

Subject to applicable law, our aggregate liability for any claim arising out of or relating to these Terms shall not exceed the fees you paid us in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential, special or punitive damages, including loss of profits or data.

13. Indemnity

You agree to indemnify CA Friend against any third-party claims arising out of (a) your tenant data infringing third-party rights, (b) your unlawful use of the platform, or (c) your breach of these Terms.

14. Governing law & jurisdiction

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, except that either party may seek interim or injunctive relief in any competent jurisdiction.

15. Changes

We may update these Terms from time to time. Material changes will be notified by email and through an in-app banner at least 14 days before they take effect.
